Under this milestone agreement, Jazz’s telecom infrastructure assets, previously housed under Deodar (Private) Limited, have been transferred to Engro Connect, a wholly owned subsidiary of Engro Corp. Jazz will continue to lease the extensive Deodar infrastructure to maintain and expand its mobile voice and data services nationwide under a long-term partnership.

“As we pivot to a digital-first future, this milestone enables us to remain asset-light while doubling down on what we do best—delivering impactful, tech-driven solutions for Pakistan’s evolving needs. It accelerates our transformation into a full-fledged ServiceCo, with a portfolio spanning fintech, cloud, entertainment, and digital health. We are grateful to the Government of Pakistan and regulatory bodies for their timely support, and we look forward to working with Engro Corp to build the infrastructure powering Pakistan’s digital future,” said Aamir Ibrahim, CEO of Jazz.

The transaction, originally announced on December 5, 2024, has now secured all necessary regulatory approvals, including clearances from the Pakistan Telecommunication Authority (PTA), the Competition Commission of Pakistan (CCP), and the Islamabad High Court. With these approvals, the agreement has entered into full effect, opening the door for long-term commercial and strategic collaboration between two of the country’s most influential organizations.

This partnership is a significant step toward achieving Pakistan’s digital ambitions by unlocking greater efficiency in infrastructure management and enabling faster rollout of next-generation services. Through this alliance, Jazz and Engro aim to create a robust digital backbone that supports inclusive economic growth, digital empowerment, and nationwide connectivity.
