Jazz and Engro Secure All Regulatory Approvals for Landmark Telecom Infrastructure Partnership

Engro Connect Acquires Jazz Telecom Towers in Landmark $560M Deal, Redefining Pakistan’s Digital Infrastructure Landscape

Jazz, Pakistan’s leading digital operator, has secured all regulatory approvals for its strategic infrastructure partnership with Engro Corporation Limited (Engro Corp), marking a major milestone in the pooling and management of telecom infrastructure assets across Pakistan. The partnership, first announced on December 5, 2024, is poised to transform infrastructure efficiency and support Pakistan’s long-term digital ambitions.

Under this agreement, Jazz’s infrastructure assets, managed through its wholly owned subsidiary Deodar (Private) Limited, will be vested into Engro Connect via a court-sanctioned scheme of arrangement. The partnership has received approvals from the Competition Commission of Pakistan (CCP), the Pakistan Telecommunication Authority (PTA), and the Islamabad High Court. Transaction completion is expected by June 2025.

As part of the long-term arrangement, Jazz will continue to lease Deodar’s infrastructure, ensuring seamless nationwide connectivity and digital services for over 100 million Pakistanis. The move allows Jazz to focus fully on its ServiceCo vision and scale its growing digital platforms including JazzCash, Tamasha, SIMOSA, FikrFree, Garaj, and GameNow.

This strategic alliance positions both Jazz and Engro to lead the future of digital infrastructure in Pakistan by enhancing operational efficiencies, enabling faster innovation, and expanding reach across underserved areas.
