Fauji Cement and KAPCO to Jointly Acquire 84.06% Stake in Attock Cement

A strategic consolidation has been announced in Pakistan’s cement and power sectors as Fauji Cement Company Limited (FCCL) and Kot Addu Power Company Limited (KAPCO) move to jointly acquire an 84.06% stake in Attock Cement Pakistan Limited (ACPL), subject to customary regulatory approvals and documentation.

Under the proposed structure each acquiring entity will purchase 42.03% of ACPL’s issued and paid-up capital, resulting in a combined joint control of 115.53 million ordinary shares. The board of FCCL approved the acquisition following a comprehensive review of business synergies within the Fauji Foundation group. The combined approach aims to integrate cement manufacturing with energy supply and optimise cross-sector operational efficiencies.

“The Board of Directors of Fauji Cement Company Limited … after considering the overall business synergies … has accorded its approval for the Company to be the entity that jointly acquires with KAPCO, 84.06% of the total issued and paid-up capital of the Target company,” said the official FCCL disclosure. The acquisition, once finalised, will place ACPL under joint oversight of FCCL and KAPCO, enabling coordinated strategy on production capacity, cost-synergies, and market outreach.

For stakeholders and the industry alike, the move signals a shift toward larger integrated industrial groups, scale optimisation and strategic alignment across power and building-material supply chains. The joint transaction has been notified to the Securities and Exchange Commission of Pakistan and other relevant authorities, and managements look to proceed once documents are executed and approvals secured. With ACPL being a key player in Pakistan’s cement sector, this acquisition positions FCCL and KAPCO to expand capacity, enhance export potential and strengthen competitive positioning in a market facing subdued demand and rising cost pressures.
