The Pakistan Telecommunication Authority (PTA) has granted conditional approval for the proposed merger of Telenor Pakistan with Pakistan Telecommunication Company Limited (PTCL), a landmark decision that paves the way for the largest telecom consolidation in the country’s history. This approval, subject to stringent regulatory, technical, and consumer protection conditions, marks a critical step toward creating a combined entity with the scale and resources to drive nationwide digital transformation.

The conditional approval requires the merged entity to ensure uninterrupted service continuity for existing customers of both operators, comply with competition regulations to prevent market abuse, and meet all license obligations related to coverage, quality of service, and rural connectivity. The PTA has also mandated the protection of employee rights and the safeguarding of consumer data privacy throughout the integration process. Final approval will be contingent upon the fulfillment of these requirements and a comprehensive post-merger implementation plan.
This merger is poised to reshape Pakistan’s telecom landscape, combining PTCL’s extensive fixed-line and broadband infrastructure with Telenor Pakistan’s robust mobile network and large subscriber base. The resulting entity is expected to accelerate investment in 4G/5G rollout, fiber expansion, and digital services, enhancing competition and connectivity nationwide.
“The conditional approval of the PTCL-Telenor Pakistan merger is a carefully considered decision aimed at balancing industry consolidation with public interest. We have set clear conditions to protect consumers, promote fair competition, and ensure that this merger contributes positively to Pakistan’s digital growth,” stated a senior official from the Pakistan Telecommunication Authority (PTA).
The merger process will now proceed to the next phases, including securing final approvals from the Competition Commission of Pakistan (CCP) and the Securities and Exchange Commission of Pakistan (SECP), with integration expected to be implemented in phases over the coming year.
